英文の債務不履行条項例
以下は割賦の例です。
Events of Default – The Purchaser shall be deemed to be in default and the Seller may terminate this Agreement effective immediately by giving written notice to the Purchaser upon the occurrence of any of the following events:
(a)Default in Payment – If the Purchaser shall fail or refuse to pay any moneys payable to the Seller under this Agreement.
(b)False Information – If the Purchaser has provided false information in relation to the Purchase Price of the Equipment.
(c)Other Default – If the Purchaser shall fail to observe or perform any of the provisions of this Agreement, whether expressed or implied.
(d)Failure to obtain or Cancellation of Insurance Policy – If the Purchaser shall fail to obtain the necessary insurance policy or if any insurance policy in respect of the Equipment shall be cancelled.
(e)Winding-up – If a winding-up petition shall be filed against the Purchaser or the Purchaser shall pass a resolution for voluntary winding-up (otherwise than by way of amalgamation or reconstruction) or the appointment of receiver or judicial manager.
(f)Insolvency – If the Purchaser becomes insolvent or is unable to pay its debts as they fall due or suspends or threatens to suspend making payments with respect to all or any class of its debts or enters into any composition or arrangement with its creditors or makes a general assignment for the benefit of its creditors.
(g)Execution – If distress or execution shall be levied or threatened upon the Equipment or upon any of the Purchaser’s property.
(h)Judgment – If any judgment against the Purchaser shall remain unsatisfied for more than fourteen (14) days.
(i)Abandonment – If the Purchaser shall abandon the Equipment.
(j)Cessation of Business – If the Purchaser shall at any time cease to operate
or otherwise abandons its business.
(k)Material Adverse Change – If there has occurred a material adverse change
in the prospects, operations or financial conditions of the business of the Purchaser
in the reasonable opinion of the Seller.
(l)Guarantors – If any events similar to any of the foregoing events shall occur in relation
to any Guarantor.
(m)Change of Shareholders – If any changes to the shareholders or shareholdings in the share capital
of the Purchaser has been made without the prior written consent of the Seller.
(n)Cross Default – If the Purchaser has defaulted in any of its other financial or debt obligations.
債務不履行条項の和訳
債務不履行－以下の事由のいずれかが生じた場合、買主は不履行状態にあるとみなされ、売主は、買主に対し書面で通知することにより即時に本契約を終了させることができる。
(a) 支払の不履行－買主が、本契約上売主に支払義務を負う何らかの金員の支払を怠るか、拒絶した場合。
(b) 虚偽の情報－買主が、本物件の本購入価格に関し、虚偽の情報を提供した場合。
(c) その他の不履行－買主が、明示的であると黙示的であると問わず、本契約の条項の遵守又は履行を怠る場合。
(d) 保険証券の取得懈怠又は解約－買主が、必要な保険証券の取得を懈怠し、又は、本物件に関するいかなる保険証券であれ、解約される場合。
(e) 清算－買主に対し清算の申立がなされた場合、買主が任意解散の決議を行った場合（合併又は再編以外のその他の方法による）、又は、破産管財人若しくは裁判所の監督の任命がある場合。
(f) 支払不能－買主が支払不能となる場合、期日が到来した負債につき支払えない場合、全部又は一部の負債に関する支払を一時停止するか、又は一時停止するおそれがある場合、債権者と何らかの和解又は協定を締結する場合、又は、債権者に対し一括譲渡を行う場合。
(g) 強制執行－本物件又は買主の何らかの財産に対し、競売又は強制執行が発令されるか、そのおそれがある場合。
(h) 判決－買主に対する何らかの判決に対し、14日経過後も従わない場合。
(i) 廃棄－買主が、本物件を廃棄した場合。
(j) 事業停止－買主が、何時であれ、その事業の遂行を中止するか、その他の態様で事業を放棄する場合。
(k) 重大な悪化－売主の合理的な見解により、買主の将来の見通し、経営又は財務状態に重大な悪化が発生した場合。
(l) 保証人－いずれの保証人に関してであれ、前記事由と類似の事由が発生した場合。
(m) 株主の変更－売主の書面による事前の同意なく、買主の株主又は株式資本における株式保有に何らかの変更があった場合。
(n) クロスデフォルト－その他の財務上の義務又は債務につき、買主に不履行があった場合。
